Safety and risk

Secured vs unsecured vs subordinated: which is safer?

Seniority only sets the order in which bondholders are repaid if the issuer fails: secured holders recover first from the assets charged to them, then senior unsecured holders, then subordinated holders, with perpetual and AT1 bonds last. "Senior secured" describes that ranking, not a guarantee, because what you recover still depends on what the assets fetch and how fast the debenture trustee can enforce.

Verified

Seniority matters only when an issuer cannot pay everyone, and then it decides who is paid first. Secured bondholders recover from the specific assets charged to them. Senior unsecured holders rank after secured creditors, alongside other unsecured creditors. Subordinated holders are paid only after all senior creditors. Perpetual and AT1 bonds sit last, and their terms can allow a write-down. A better ranking improves your place in the queue; it does not promise the queue reaches you.

Where do I find a bond's ranking?

On the platform's bond page. SEBI requires every registered bond platform to show, for each bond, whether it is secured or unsecured, its seniority, its debenture trustee and its offer document (SEBI NCS Master Circular). From about 21st Nov 2026 the Credit Risk-o-Meter must also print "unsecured" in bold red (SEBI Credit Risk-o-Meter circular). If a page does not show seniority, the offer document or information memorandum will.

Does "senior secured" mean I cannot lose money?

No. Reddit titles in 2026 treat it as a safety label, for example a Jun 2026 post asking whether 12% senior secured bonds are a much better option now (Reddit). Security cover is measured at a point in time, the assets behind it can lose value, and enforcement through the debenture trustee takes time. A secured bond from a weak issuer can still default; the ranking only improves what is recovered afterwards. See What happens if the bond issuer defaults?.

What does subordinated paper sold to retail look like?

A dated example: in Apr 2025 IndiaBonds offered Satya MicroCapital's 14.20% subordinated debt (INE982X08091, rated CRISIL BBB+) at a 14.25% YTM (archived IndiaBonds page). Satya's FY26 annual report shows a breached net worth covenant on that bond and a material uncertainty on going concern from its auditor, and ICRA says covenant breaches cover more than ₹700 crore of facilities (Satya annual report, ICRA). All coupons were paid through 12th Oct 2026, so it is not a default. The point is the ranking: in a failure, subordinated holders are paid after every senior creditor. This is not a view on the bond.

What about bank Tier 2 and AT1 bonds?

Tier 2 bank bonds are subordinated, and AT1 bonds rank below them. TradingQnA's thread asking whether Tier 2 bank bonds are safe has 3,439 views (TradingQnA), and Yes Bank's AT1 write-down is still discussed by retail investors (Reddit).

Is a state guarantee the same as security?

No. A guarantee is a promise from a third party; security is a charge over assets. On TradingQnA's thread asking whether state guaranteed bonds are really secured (3,978 views), and in later threads, replies note that state backed organisations have defaulted and that safety depends on the issuer's health (TradingQnA, TradingQnA).
