Safety and risk

What happens if the bond issuer defaults?

If an issuer misses a payment, the debenture trustee acts for all bondholders and can enforce any security or go to the insolvency courts, while the platform that sold you the bond is not liable to repay you. How much you get back, and when, depends on the security and seniority: TruCap Finance missed a ₹72.28 crore payment on 16th Jul 2025, and its trustee confirmed 6 ISINs fully repaid with penal interest by 23rd Oct 2025 while 1 ISIN stayed in default.

A default is a missed payment of interest or principal on the due date. The debenture trustee named in the offer document represents all bondholders, and SEBI requires bond platforms to show the trustee, secured or unsecured status and seniority for every bond (SEBI NCS Master Circular).

What happens, step by step?

TruCap Finance, an NBFC whose NCDs were sold to retail investors through bond platforms, is the clearest recent case (CARE, Catalyst Trusteeship):

DateEvent
4th Jun 2025CARE cut the NCDs to BB+ from BBB-, which triggered acceleration under the debenture trust deed
Jun to Jul 2025The majority bondholder waiver needed to avoid acceleration was not obtained
16th Jul 2025TruCap missed the payment date it had set; ₹72.28 crore of interest and principal went unpaid
18th Jul 2025CARE downgraded the NCDs to D
31st Jul to 8th Aug 2025Staged repayment: 15% of principal, then 20% and 30%
23rd Sep 2025Remaining principal paid with interest
23rd Oct 2025Trustee confirmed 6 ISINs fully redeemed with penal interest; a separate ₹40 crore ISIN held by a single investor remained in declared default after an unpaid put option

Mint reported about 1,100 investors owed about ₹55 crore across platforms, and a blog named BondsIndia (now Digifinn), GoldenPi, Grip and Altifi as sellers (Mint, blog). Both are secondary reports we could not confirm.

Who does what after a default?

  • The debenture trustee monitors the issuer, seeks bondholder decisions, and enforces security or files proceedings. In BluSmart's 2025 collapse, Catalyst Trusteeship filed an NCLT petition against the company (Inc42).
  • Rating agencies move the rating to D, often the first public signal.
  • The platform is not liable for the issuer's payments. Replying to App Store complaints about missed interest, Wint says repayments come from the issuers (App Store).
  • You keep the bond in your demat, read trustee notices, and vote when bondholders are asked to decide.

How much do bondholders get back?

It depends on the security, the ranking and how long enforcement takes, and we found no verified statistics on Indian retail recoveries. Secured holders have assets the trustee can enforce against; unsecured and subordinated holders rank behind them. Outcomes vary:

  • Full but late: TruCap's 6 ISINs, repaid about 10 weeks after the missed date with penal interest.
  • Partial on return: on a Grip lease SDI linked to AGS Transact, whose ATMs were sold to a bank for about ₹3.37 crore, one investor reported recovering about 101.79% of principal but about 88.48% of the expected return (blog). These are one investor's figures.
  • Unresolved: BluSmart defaulted on ₹30 crore of bonds in Feb 2025 and stopped operating in Apr 2025 (Outlook Business); we found no final recovery figures for its bondholders.

Do registration or ratings protect me?

No. Platform registration covers how your order and money are handled, not whether the issuer pays, and SEBI makes every OBPP ad warn of the risk of delay or default (SEBI NCS Master Circular). Ratings lag: TruCap went from BBB- to D in about 6 weeks. Before buying, read the trustee, the security, the ranking and the lowest rating. See are corporate bonds safe and secured vs unsecured vs subordinated.

What if the platform fails instead?

That is a different risk: your bonds stay in your demat and the issuer still owes you. See what happens if the platform shuts down.
